These General Sales Conditions (GSC) define the terms and conditions governing all sales of goods or services by BIPOL SARL
(hereinafter referred to as „the Seller“) to its professional clients (hereinafter referred to as „the Buyer“). Any order implies full
acceptance of these GSC by the Buyer.
2.1. Orders must be confirmed in writing (email, purchase order, or other formal document).
2.2. Once accepted by the Seller, the order is binding and cannot be canceled or modified without written agreement from the
Seller.
2.3. The Seller reserves the right to refuse an order for legitimate reasons, such as payment issues or stock unavailability.
3.1. Prices are stated in Euros and are exclusive of taxes (excl. VAT), unless otherwise specified. Applicable taxes will be added
to the invoice.
3.2. Prices are subject to change at any time; however, orders confirmed by the Seller remain at the agreed price.
3.3. Additional costs (e.g., transport, packaging) may apply and will be specified in the order confirmation.
4.1. Payments must be made within 30 days net of the invoice date unless otherwise agreed.
4.1.a Any first order is payable in advance by bank transfer according to a proforma invoice drawn up by BIPOL
4.1.b All orders outside the EEC are payable in advance on Proforma Invoice.
4.1.c A flat rate of 15 Euros excluding tax will be applied for any order of less than 80 Euros excluding tax.
4.1.d A flat rate of 30 Euros excl. VAT is applicable for all orders outside the EU
4.2. In the event of late payment, late payment penalties will be applied at the current legal rate (ECB key rate in force on the
1st day of the current half-year plus 10%), as well as a fixed recovery fee of €40. The recovery fee can be requested even in
case of part payment.
4.3. The Seller reserves the right to suspend or cancel any order if payment is not received by the due date.
5.1. Delivery dates are indicative and non-binding unless explicitly agreed otherwise.
5.2. The Buyer assumes responsibility for the goods upon delivery or pick-up, unless otherwise agreed.
5.3. The Seller cannot be held liable for delivery delays due to causes beyond its control (e.g., force majeure, transport issues).
6.1. The Buyer must inspect goods upon receipt and report any visible defects, damage, or non-conformity within 7 days.
6.2. Returns of goods will not be accepted without prior authorization from the Seller.
6.3. Unauthorized returns will be sent back to the Buyer at their expense.
7.1. The Seller retains ownership of the goods until full payment has been received.
7.2. If payment is not made, the Seller reserves the right to reclaim the goods without prior notice.
8.1. The Seller warrants that goods comply with agreed specifications.
8.2. The warranty does not cover defects caused by misuse, improper handling, or unauthorized modifications by the Buyer.
8.3. During the warranty period, defective goods will be repaired, replaced, or refunded at the Seller’s discretion.
The Seller’s liability is limited to direct damages resulting from proven faults in goods or services. Indirect damages, including
lost profits or operational disruptions, are excluded.
The products offered comply with the French legislation in force. BIPOL cannot be held liable in the event of non-compliance
with the legislation of the country where the products are delivered. It is the buyer’s responsibility to check with the local
authorities whether they intend to import or use the products or services they intend to order. BIPOL reserves the right to
refuse delivery to countries exposed to specific risks. An End User Certificate (UFC) may be required by BIPOL. The
photographs and texts illustrating the products presented are not contractual. Consequently, BIPOL cannot be held liable in
the event of an error in one of these photographs or texts. BIPOL cannot be held liable for the non-performance of the
contract concluded in the event of a shortage of stock or unavailability of the product, force majeure, disruption or total or
partial strike, in particular of postal services and means of transport and/or communications, flood, fire. The Seller cannot be
held liable for indirect damages, operating losses, or any other prejudice not directly related to a defect in the products
delivered.
The Seller shall not be held liable for non-performance or delays caused by events beyond its reasonable control, including but
not limited to natural disasters, strikes, pandemics, or government restrictions.
11.1. Any documentation or designs provided by the Seller remain its exclusive property.
11.2. The Buyer agrees not to disclose confidential information received from the Seller without prior consent.
12.1. These GSC are governed by the laws of FRANCE
12.2. Any disputes arising from these GSC shall be submitted to the exclusive jurisdiction of the courts of REIMS – MARNE –
FRANCE
By placing an order, the Buyer acknowledges having read and accepted these General Sales Conditions without reservation.
